Pro & Elite Listings
1. AGREEMENT OVERVIEW
This Paid Subscription Agreement (“Agreement”) governs Pro and Elite listing subscriptions on moris.click.
This Agreement is entered into between:
Moris.Click
Mon Choisy, Mauritius

Operated by Whitestone Ventures Limited
and
The subscribing business (“Subscriber”).
By purchasing a Pro or Elite listing, the Subscriber agrees to be legally bound by:
- This Agreement
- The Terms & Conditions
- The Acceptable Use Policy
- The Refund & Cancellation Policy
- The Privacy Policy
If there is any conflict, this Agreement governs paid subscription matters.
2. NATURE OF SERVICE
moris.click is a business directory platform providing visibility services.
A Pro or Elite subscription provides enhanced exposure and listing features, which may include:
- Priority display
- Expanded business profile
- Additional images
- Promotional enhancements
- Category prominence
Exact features may be updated from time to time.
Important:
The subscription provides exposure and visibility, not guaranteed leads, sales, revenue, or commercial success.
3. SUBSCRIPTION TERM
Subscriptions are billed annually unless otherwise specified.
The subscription begins on the payment confirmation date and remains active for 12 months.
Subscriptions may renew annually unless cancelled before renewal.
We reserve the right to adjust pricing upon renewal with prior notice.
4. PAYMENT TERMS
All payments must be made in full before activation.
Fees are:
- Non-refundable except as defined in the Refund & Cancellation Policy
- Exclusive of payment gateway charges where applicable
Failure to pay renewal fees may result in:
- Immediate downgrade
- Suspension
- Removal of listing
Outstanding balances may be pursued if necessary.
5. REFUNDS & CANCELLATION
Refunds are governed strictly by the Refund & Cancellation Policy.
In summary:
- Full refund only within 24 hours of subscription
- Partial refund (less Rs 1,000 cancellation fee and deletion charges) within the first month
- No refunds after one month
Subscription fees are not performance-based and are not refundable due to lack of leads or business results.
6. NO PERFORMANCE GUARANTEE
The Subscriber acknowledges:
moris.click does not guarantee:
- Ranking position
- Traffic volume
- Lead generation
- Conversion rates
- Sales outcomes
Visibility depends on various factors including category competition, user behaviour, and platform algorithms.
The subscription fee covers platform exposure only.
7. CONTENT RESPONSIBILITY
The Subscriber is solely responsible for:
- All submitted content
- Accuracy of business information
- Intellectual property compliance
- Updating outdated information
moris.click may edit formatting for consistency.
We may remove or suspend listings that violate platform rules.
8. PLATFORM CONTROL & DISPLAY
moris.click retains full discretion over:
- Listing placement
- Search ranking
- Category assignment
- Homepage exposure
- Promotional rotation
Pro and Elite subscriptions provide priority exposure compared to Basic listings, but exact positioning is not guaranteed.
No Subscriber has contractual entitlement to a specific placement.
9. SUSPENSION OR TERMINATION
We may suspend or terminate a subscription if:
- The Subscriber violates any policy
- False information is discovered
- Fraud is suspected
- Chargebacks are initiated
- The listing presents reputational or legal risk
Termination due to policy violation does not entitle refund.
Access to moris.click is a privilege, not a permanent right.
10. CHARGEBACK PROTECTION
If a Subscriber initiates a chargeback or payment dispute:
- The listing may be immediately suspended
- Evidence of this Agreement and related policies may be submitted to financial institutions
- Access may be permanently restricted
Abusive chargebacks may result in legal action.
11. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
Whitestone Ventures Limited shall not be liable for:
- Indirect or consequential losses
- Loss of revenue
- Loss of business opportunity
- Reputational damage
- Marketing underperformance
Total liability shall not exceed the subscription fee paid in the preceding 12 months.
12. INDEMNIFICATION
The Subscriber agrees to indemnify and hold harmless Whitestone Ventures Limited from any claims arising from:
- Business conduct
- False advertising
- Intellectual property disputes
- Regulatory violations
- Misrepresentation
13. MODIFICATION OF FEATURES
Platform features may evolve over time.
We may improve, modify, replace, or discontinue certain features without creating entitlement to refund, provided core exposure services remain active during the subscription term.
14. GOVERNING LAW
This Agreement is governed by the laws of Mauritius.
Any disputes shall be subject to the exclusive jurisdiction of Mauritian courts.
